JumpStart Private Lending focuses on bona fide business-purpose real estate financing for investors, rehabbers, builders, developers and other real estate operators. We do not intend to solicit, advertise or provide consumer-purpose residential mortgage financing through the programs described on this website.

This table is intended to make our business-purpose focus clear before an applicant submits a financing request. Actual legal classification depends on the facts and circumstances of each transaction.

This screening table describes JumpStart's intended business model. It does not determine the legal classification of any particular extension of credit and is not a representation that any transaction is exempt from an otherwise applicable licensing, disclosure, advertising or regulatory requirement.

Business-Purpose Financing Only

Financing offered, discussed or evaluated by JumpStart Private Lending through the programs described on this website is intended for transactions in which the requested credit is primarily for a bona fide business, commercial or investment purpose and not primarily for a personal, family or household purpose.

An applicant requesting financing represents that the requested credit is intended primarily for a legitimate business or commercial purpose. The applicant must accurately disclose the intended use of the loan proceeds, ownership structure, property use, intended occupancy, transaction structure, project scope and other facts material to evaluating the transaction.

The legal character of a transaction is determined from its actual facts and circumstances. The use of terms such as “investment property,” “business purpose,” “commercial,” “LLC,” “private loan” or similar terminology does not by itself determine the legal classification of the transaction.

Intended Property Use

No Consumer-Purpose Residential Mortgage Solicitation

JumpStart Private Lending does not intend through the programs advertised on this website to solicit or provide financing primarily for the purchase, improvement, refinance or retention of a borrower's primary residence, second home, vacation home or other property intended principally for personal, family or household use.

Programs described as investment-property financing are intended for bona fide investment, rental, rehabilitation, development, construction, resale, repositioning or other qualifying business-purpose activity.

Applicants must disclose any present or anticipated personal occupancy of the collateral property by the borrower or other relevant parties. Intended occupancy may materially affect whether a transaction fits JumpStart's programs and how the transaction is treated under applicable law.

Florida Business-Purpose Standard

Purpose Is Determined by the Transaction — Not the Label

Florida law defines a business-purpose loan by reference to the borrower's intended use of loan proceeds: the proceeds must be intended primarily for a business purpose and not primarily for a personal, family or household purpose.

Florida law further directs persons determining whether a loan is for a business purpose to refer to the official federal interpretation of 12 C.F.R. § 1026.3(a), Regulation Z.

That analysis may consider factors such as the relationship of the transaction to the borrower's business or investment activities, the borrower's involvement in the investment, transaction size, expected income associated with the investment and the borrower's stated purpose.

The applicable federal interpretation also contains specific guidance concerning rental-property transactions, including non-owner-occupied rental property.

Applicant Representations and Business-Purpose Verification

By submitting a financing inquiry or application, the applicant represents that all information supplied regarding loan purpose, use of proceeds, ownership, occupancy, property use, project scope and transaction structure is complete and accurate to the best of the applicant's knowledge.

JumpStart may request certifications, organizational documents, purchase contracts, leases, project budgets, scopes of work, construction plans, business plans, occupancy representations, exit-strategy information or other documentation reasonably relevant to evaluating the stated business purpose of the transaction.

An applicant should not characterize, restructure, document or present a consumer-purpose or personal residential transaction as a business-purpose transaction for the purpose of obtaining financing.

JumpStart may decline, suspend or discontinue consideration of any transaction where the stated purpose, property use, occupancy, ownership structure or other material facts are inaccurate, incomplete, inconsistent or otherwise outside the applicable program.

No Recharacterization of Consumer Credit

JumpStart does not use the phrase “business purpose” as a means of converting or recharacterizing consumer-purpose residential credit into business-purpose financing.

If the substance of a transaction indicates that the requested credit is primarily for personal, family or household purposes, the transaction does not fit the business-purpose programs described on this website merely because an applicant uses a business entity, investment terminology or other business-related documentation.

JumpStart reserves the right to reject a request whenever the actual facts are inconsistent with the stated business purpose.

Regulatory Position

No Blanket Licensing or Regulatory Exemption Is Claimed

JumpStart Private Lending does not represent that every loan secured by investment real estate is automatically exempt from Florida mortgage lending laws.

JumpStart also does not represent that describing a loan as “business purpose,” making a loan to a business entity, or securing a loan with non-owner-occupied property automatically eliminates every licensing, disclosure, advertising, recordkeeping or other regulatory requirement that may otherwise apply.

Florida Chapter 494 contains definitions, licensing requirements, exemptions, prohibited practices and advertising requirements whose applicability may depend on the lender or capital source, borrower, collateral, transaction structure and activities being performed.

Each transaction is evaluated under the legal, regulatory and underwriting requirements applicable to that transaction.

This website is directed primarily to real estate investors, builders, developers and other persons seeking bona fide business-purpose real estate financing.

Nothing on this website should be interpreted as a representation that any person has unqualified access to credit, that any applicant will be approved, or that any particular amount, leverage, interest rate, fee, point structure, term or closing timeframe will be available.

Any references to rates, fees, points, leverage, loan-to-value, loan-to-cost, loan amounts, terms, timelines, closing speed or other material financing characteristics are general or illustrative unless contained in a transaction-specific written proposal or definitive agreement.

Actual financing terms may be higher, lower, different or unavailable depending on the borrower, property, capital source, transaction, documentation, underwriting results, market conditions and applicable law.

No Guarantee of Approval, Terms or Funding

Submission of an inquiry, financing request, application, property information or supporting documentation does not constitute approval, a commitment to lend, a reservation of capital, an agreement to provide financing or a guarantee that financing will be available.

Discussions with JumpStart personnel, preliminary indications, financing scenarios, estimates or proposed structures are not binding commitments unless and until documented in an applicable written agreement executed by the parties authorized to enter that agreement.

A transaction may remain subject to valuation, collateral review, borrower qualifications, experience, liquidity, required equity or capital contribution, credit information when applicable, title, insurance, construction or renovation documentation, legal review, capital-source approval, business-purpose verification and other underwriting or closing conditions.

Rates, Fees, Leverage and Other Economic Terms

Rates, fees, points, loan-to-value ratios, loan-to-cost ratios, estimated proceeds, amortization structures, term lengths and similar financing information appearing on this website are general or illustrative unless expressly identified as transaction-specific.

Actual terms depend on the facts of the transaction, applicable underwriting, capital source, property, borrower qualifications, market conditions, documentation and applicable law.

Loan programs, guidelines, pricing and availability may be changed, suspended or discontinued.

Interest, fees, charges and other economic terms applicable to any funded transaction remain subject to the governing loan documents and applicable law.

Property Values, ARV and Investment Projections

JumpStart Private Lending seeks bona fide business-purpose real estate transactions. We want applicants to be clear about how the property will be used, who will occupy it, what the proceeds are for and what business or investment objective the financing is intended to accomplish.

We do not want an applicant to disguise personal residential financing as an investment transaction, and we do not want anyone to interpret this website as an invitation to do so.

Where the facts do not support the business-purpose programs described here, JumpStart may decline the request or direct the applicant to seek financing from an appropriately qualified provider for that transaction.
